Where technically available, BRIT may also provide a checkbox, button, acknowledgement, hyperlink or similar acceptance mechanism at checkout, registration or enquiry stages.
Your use of the Website or Products through any device or method of access shall be treated as acceptance of these Terms to the maximum extent permitted by applicable law.
The absence of a physical signature shall not by itself prevent these Terms, Orders, electronic records, approvals or other electronic communications from forming part of the contractual relationship, subject to applicable law.
4. Changes, Updates and Modifications to These Terms
BRIT reserves the right to modify, amend, revise, replace, update, supplement or otherwise change these Terms and Conditions at any time and from time to time, at its sole discretion, subject to applicable law.
Changes may be made for reasons including:
- changes in our business operations;
- introduction of new Products or Services;
- introduction or removal of Website features;
- changes in technology;
- changes in payment systems;
- changes in digital-product delivery methods;
- changes in applicable laws or regulations;
- changes in third-party platforms;
- security or operational requirements; or
- any other legitimate business or legal reason.
The most recent version of these Terms will be published on the Website together with the applicable “Last Updated” date.
By continuing to access, browse, use or interact with the Website, Products or Services after revised Terms are published, you shall be deemed to have accepted and agreed to the revised Terms, to the extent permitted by applicable law.
This acceptance applies whether access occurs:
- through a desktop;
- laptop;
- mobile phone;
- tablet;
- application;
- browser;
- direct link;
- search result;
- social-media link;
- email link;
- embedded link; or
- any other current or future method or device.
For a transaction that has already been completed, the version of the Terms applicable to that transaction may continue to govern the completed transaction unless otherwise required by law or expressly agreed.
Nothing in this clause is intended to remove or restrict any mandatory statutory right that cannot lawfully be excluded.
5. Website Use
You may use the Website only for lawful purposes.
You must not:
- use the Website for unlawful, fraudulent or deceptive activities;
- attempt unauthorised access to the Website or its systems;
- interfere with or disrupt Website operations;
- introduce malware, malicious code or harmful software;
- attempt to bypass security controls;
- scrape or systematically copy Website content without permission;
- impersonate BRIT or another person;
- use the Website to infringe intellectual-property or privacy rights;
- misuse payment or checkout functionality;
- attempt fraudulent transactions;
- use stolen or unauthorised payment credentials; or
- use the Website in any manner that may damage BRIT or its systems.
BRIT reserves the right to restrict or terminate access where misuse, fraud, abuse, unlawful activity or material breach is suspected.
6. Services Offered by BRIT
BRIT may provide professional services including, without limitation:
- branding and brand strategy;
- logo and visual identity design;
- graphic and creative design;
- website and digital-presence services;
- digital technology solutions;
- content development;
- AI-assisted creative and digital workflows;
- digital marketing;
- consultations;
- creative resources;
- templates and downloadable resources; and
- other services introduced from time to time.
The exact scope, deliverables, timeline, revisions, fees and responsibilities applicable to a professional engagement shall be governed by the relevant Project Agreement.
7. Online Store and Digital Products
BRIT may operate an online shopping facility through the Website for the sale of Digital Products.
Digital Products may include, without limitation:
- templates;
- graphics;
- creative assets;
- documents;
- digital guides;
- downloadable files;
- business resources;
- branding resources;
- design resources;
- digital toolkits;
- educational or informational resources;
- digital bundles; and
- other electronic products made available by BRIT.
Because these Products are delivered electronically, no physical shipment, courier delivery or physical parcel is involved unless expressly stated on the relevant Product page.
Product-specific information, including description, file format, price, intended use, compatibility, licence restrictions and delivery method, may be displayed on the relevant Product page or checkout page.
Information displayed for a Product should be reviewed before purchase.
8. Digital Product Listings and Descriptions
BRIT makes reasonable efforts to describe Digital Products accurately.
Product previews, mock-ups, demonstrations, screenshots and examples may be provided for illustration and may not represent the exact appearance of every file, version, software environment or final use case.
Minor differences may occur due to:
- software versions;
- fonts;
- operating systems;
- display settings;
- file formats;
- updates;
- technical limitations; or
- changes made to improve the Product.
Where there is an obvious typographical, pricing or technical error in a Product listing, BRIT reserves the right to correct the error and, where appropriate, cancel or revise the affected Order subject to applicable law.
9. Eligibility to Purchase
By placing an Order, you represent that:
- you are legally capable of entering into the transaction;
- the information provided by you is accurate;
- you are authorised to use the selected payment method;
- you are purchasing the Product for lawful purposes; and
- you will use the Product in accordance with these Terms and the applicable Product licence.
Where a business or organisation places an Order, the person placing the Order represents that they are authorised to act on behalf of that entity.
10. Product Pricing
Prices displayed on the Website are the prices applicable at the time of purchase unless otherwise stated.
Prices may be displayed:
- inclusive of applicable taxes; or
- exclusive of applicable taxes, with taxes calculated separately at checkout,
depending on the applicable Product and legal requirements.
Applicable Goods and Services Tax (“GST”) or other statutory taxes may be charged where required by law.
BRIT reserves the right to change Product prices at any time.
A price change will generally not affect an Order that has already been accepted and paid for, except where an error, fraud, payment reversal, technical issue or legal requirement requires otherwise.
Discounts, promotional codes, offers and bundles may have separate conditions and expiry dates.
11. Placing an Online Order
When you click a purchase or order button, provide payment details, submit an order or otherwise proceed with checkout, you are making an offer to purchase the selected Product under the applicable terms.
Submission of an Order does not automatically guarantee acceptance.
BRIT may accept, reject, cancel or place an Order on hold where reasonably necessary, including in cases involving:
- payment failure;
- suspected fraud;
- pricing errors;
- technical errors;
- duplicate orders;
- misuse of promotional offers;
- unlawful activity;
- product availability or technical issues;
- violation of these Terms; or
- other legitimate operational or legal reasons.
Where payment has already been successfully captured for an Order that BRIT cancels, BRIT will process an appropriate refund where required under applicable law and the applicable Refund Policy.
12. Order Confirmation
After submitting an Order, you may receive an electronic confirmation through the email address, customer account or other contact method provided by you.
An Order Confirmation may include:
- order details;
- Product name;
- amount paid;
- tax information;
- transaction information;
- download information; and/or
- instructions for accessing the Product.
Receipt of an automated payment acknowledgement does not necessarily mean that the Order has been finally accepted where BRIT subsequently identifies a material error, fraud concern or other valid cancellation reason.
13. Online Payments
Payments for Products or Services may be processed through BRIT’s selected payment gateway, bank, payment processor or Third-Party Provider.
Available payment methods may include, where enabled:
- credit cards;
- debit cards;
- UPI;
- net banking;
- digital wallets;
- bank transfers;
- payment links; and
- other payment methods supported by the payment provider.
Payment processing may be subject to the separate terms, privacy policies, security systems and technical procedures of the applicable payment provider.
BRIT generally does not receive or store complete card numbers, CVV codes or banking credentials where these are processed directly by a third-party payment gateway. The specific handling of payment information may depend on the provider used for the transaction.
You must not use another person’s payment method without proper authorisation.
14. Failed, Pending, Duplicate or Reversed Payments
A payment may sometimes appear successful at your bank or payment application while the Order status remains pending, failed or incomplete.
Payment delays may occur because of:
- payment gateway issues;
- banking delays;
- network failures;
- authentication failures;
- transaction timeouts;
- fraud checks; or
- system errors or other third-party processing issues.
If an amount has been debited from your account but BRIT has not received successful payment confirmation, the transaction may require verification before the Product is delivered.
If the same Order is accidentally charged more than once and duplicate payment is confirmed, BRIT will take reasonable steps to process the applicable adjustment or refund.
A bank statement showing a debit does not, by itself, establish successful receipt of funds by BRIT where the payment processor has not confirmed settlement.
15. Digital Delivery
Digital Products may be delivered by one or more of the following methods:
- download link displayed after successful checkout;
- email delivery;
- customer account/dashboard;
- protected download page;
- access link; or
- other electronic delivery methods selected by BRIT.
Delivery is normally considered completed when the Digital Product or access mechanism has been made available to the customer.
The actual time of delivery may depend on:
- successful payment verification;
- payment-gateway confirmation;
- email delivery;
- technical systems;
- customer account status; or
- other reasonable processing requirements.
BRIT is not responsible for delivery failure caused solely by inaccurate email addresses, incorrect customer information, spam filtering, full mailboxes, blocked domains, customer-side technical problems or similar circumstances outside BRIT’s reasonable control.
You should ensure that the contact information supplied during checkout is accurate.
16. Download Links and Access
A Digital Product may be subject to:
- limited download attempts;
- an expiry period;
- account-based access;
- security controls;
- device limitations;
- licence restrictions; or
- other reasonable technical measures.
These restrictions may vary by Product.
A download link is intended for the customer who legitimately purchased the Product and must not be publicly shared, posted, sold, redistributed or made available to unauthorised persons.
Where technically necessary, BRIT may replace, refresh or reissue a legitimate customer’s download access after reasonable verification.
17. Digital Product Licence
Unless a Product page or separate Product Licence expressly states otherwise, purchasing a Digital Product from BRIT does not transfer ownership of the underlying intellectual property to you.
Instead, you receive a limited, non-exclusive, non-transferable, revocable licence to use the purchased Digital Product for the permitted purpose stated on the Product page or in the applicable licence terms.
Unless expressly permitted in writing, you must not:
- resell the Digital Product;
- redistribute the Digital Product;
- share the Digital Product publicly;
- upload the Product to file-sharing websites;
- make the Product available through another marketplace;
- provide the original files to clients or third parties where prohibited by the Product licence;
- claim the original Product as your own creation;
- sublicense the Product;
- reverse engineer protected software or files;
- remove ownership or copyright notices; or
- use the Product in a manner that violates the applicable licence.
Where a Product is specifically sold with commercial-use rights, those rights are limited to the scope expressly stated for that Product.
18. Multiple Users and Team Use
Unless the relevant Product licence expressly allows multiple-user or team use, a Product purchased by one customer is intended for use by that purchasing customer or the entity specifically identified in the applicable Order.
Sharing one purchased copy or one account among multiple unrelated users may constitute an unauthorised use.
BRIT may offer separate team, agency, commercial, extended or multi-user licences where applicable.
19. Prohibited Distribution and Piracy
Unauthorised copying, redistribution, public sharing, resale, uploading, mirroring or commercial exploitation of BRIT’s Digital Products may constitute infringement of intellectual-property rights.
BRIT reserves the right to take appropriate legal and technical action against suspected unauthorised distribution, including suspension of access, cancellation of licences and enforcement of applicable intellectual-property rights.
No refund or additional licence is automatically created by the unauthorised distribution of a Product by a purchaser or third party.
20. Digital Product Updates and Replacements
BRIT may occasionally update Digital Products to correct errors, improve functionality, improve compatibility, add material or otherwise improve the Product.
Unless expressly stated otherwise, purchase of a Product does not automatically entitle the customer to every future version, expansion pack, upgrade or successor product.
Where BRIT specifically states that updates are included, those updates will be supplied subject to the applicable Product terms.
BRIT may replace a defective or corrupted file with a corrected version where reasonably possible.
21. Compatibility
Before purchasing a Digital Product, customers should review the stated file formats, software requirements and compatibility information.
BRIT does not guarantee compatibility with every:
- operating system;
- browser;
- software version;
- device;
- application;
- plugin;
- third-party platform; or
- future version of software.
Changes made by third-party software providers after purchase may affect compatibility.
The customer is responsible for maintaining compatible software and equipment unless otherwise expressly included in the Product description.
22. Digital Products and Refunds
Because Digital Products may become accessible or downloadable immediately after purchase, special refund conditions may apply.
Unless expressly stated otherwise on the relevant Product page or Refund Policy, Digital Product purchases are generally not eligible for return merely because the customer has changed their mind, downloaded the Product, accessed the Product or no longer wishes to use the Product.
However, this does not exclude or limit any refund, replacement, cancellation or other remedy that is required by applicable law.
Depending on the circumstances, BRIT may consider an appropriate remedy where:
- a Product is materially defective;
- a purchased file is corrupted;
- the wrong Product was delivered;
- the same Product was accidentally purchased twice;
- payment was captured but the Product was not successfully delivered;
- the Product materially differs from its advertised description; or
- another circumstance warrants a remedy under applicable law or BRIT’s Refund Policy.
Where a refund is approved, the refund method and processing time may depend on the original payment method and the applicable payment provider.
For complete refund procedures, the Refund / Cancellation Policy published on the Website should also be reviewed.
23. Chargebacks and Payment Disputes
Before initiating a bank, card-network or payment-provider chargeback, customers are encouraged to contact BRIT so that the transaction can be investigated and, where appropriate, resolved.
Fraudulent, abusive, duplicated or unauthorised use of chargeback mechanisms may result in suspension of customer accounts, Products or Services, subject to applicable law.
Nothing in this clause restricts a customer’s lawful right to raise a genuine payment dispute or seek a statutory remedy.
24. Services and Project Engagements
Professional Services are generally provided under a Project Agreement.
Only deliverables specifically included within the agreed scope are included in the relevant professional fee.
Requests outside the agreed scope may be treated as additional work and separately charged.
A project may include agreed provisions concerning:
- deliverables;
- timelines;
- revision limits;
- milestones;
- approvals;
- payment schedules;
- intellectual-property ownership;
- third-party costs;
- maintenance;
- support; and
- termination.
Where such terms exist, they will govern the particular project.
25. Scope Changes and Additional Work
A material change to an agreed project may require:
- a revised quote;
- additional fees;
- revised timelines; and/or
- written approval.
Examples include additional pages, concepts, revisions, features, integrations, content, campaigns, functionality or design directions not included in the original scope.
BRIT is not required to undertake substantial additional work without appropriate scope and commercial approval.
26. Client Responsibilities
The client is responsible for providing accurate and timely:
- business information;
- content;
- images;
- logos;
- product information;
- technical access;
- approvals;
- credentials;
- legal notices;
- regulatory information; and
- other project materials reasonably required.
The client warrants that materials supplied to BRIT may lawfully be used for the intended project.
The client remains responsible for the accuracy and legality of claims, product information, testimonials, pricing, representations and other business content supplied by the client.
27. Revisions and Approvals
Where revisions are included within a professional engagement, the relevant Project Agreement will specify the applicable number or scope of revisions.
Approval may be provided through email, messaging platforms, project-management systems, written confirmation or other agreed electronic communication.
Once a deliverable or stage has been approved, subsequent major changes may be treated as additional work.
Client delays in providing feedback or approvals may affect project schedules.
28. Timelines and Delivery for Services
BRIT will make reasonable professional efforts to meet agreed timelines.
Unless expressly stated as a guaranteed contractual deadline, project timelines are estimates and depend on client cooperation, approvals, access, third parties and other project dependencies.
Delays caused by client-side circumstances, third parties, platform providers, technical incidents, changes in scope, force majeure or other external events may result in revised schedules.
29. Intellectual Property in BRIT Services
BRIT retains ownership of its pre-existing and independently developed:
- methodologies;
- frameworks;
- processes;
- internal systems;
- templates;
- reusable components;
- know-how;
- tools;
- libraries;
- concepts; and
- other intellectual property.
Client ownership or licensing of final project deliverables shall be governed by the relevant Project Agreement.
Where transfer of specified intellectual-property rights is expressly agreed, such transfer will generally become effective upon receipt of the applicable full payment unless otherwise stated in writing.
30. Third-Party Materials
Projects and Digital Products may include or depend upon third-party materials, licences or technologies.
These may include:
- stock images;
- fonts;
- software;
- plugins;
- APIs;
- libraries;
- hosting services;
- third-party templates;
- media;
- AI tools; or
- other licensed resources.
Third-party materials remain subject to their own licences and terms.
Purchasing a BRIT Product does not automatically transfer ownership of any third-party component incorporated into that Product.
31. Artificial Intelligence and AI-Assisted Work
BRIT may use Artificial Intelligence (“AI”), generative AI systems, machine-learning tools and AI-assisted workflows for research, ideation, content, design exploration, automation, analysis, production and other legitimate business purposes.
AI-assisted output may require human review, editing, fact-checking and refinement.
AI output may not always be:
- factually accurate;
- exclusive;
- unique;
- legally protectable;
- registrable as a trademark or copyright;
- free from similarity to other output; or
- compatible with every intended use.
Accordingly, BRIT does not automatically guarantee that AI-assisted output is legally exclusive, registrable, unique or free from all third-party claims unless expressly agreed after appropriate professional review.
The final client or purchaser remains responsible for reviewing and approving content for its intended use.
32. Digital Marketing and Performance Disclaimer
Where BRIT provides SEO, advertising, digital marketing, social-media, lead-generation, content-distribution or related Services, results are dependent upon many external factors.
BRIT does not guarantee any fixed level of:
- sales;
- revenue;
- leads;
- rankings;
- traffic;
- impressions;
- engagement;
- followers;
- conversion rates;
- return on investment;
- advertising approval;
- advertising costs; or
- business growth.
Targets, projections, estimates, examples and historical results are not guarantees unless expressly stated as contractual obligations.
33. Third-Party Platforms and Services
BRIT may use external providers including:
- payment gateways;
- hosting companies;
- domain registrars;
- cloud services;
- email providers;
- analytics platforms;
- advertising platforms;
- social-media platforms;
- software providers;
- APIs;
- plugins; and
- AI providers.
BRIT does not control third-party providers and cannot guarantee their continued operation, availability, pricing, compatibility, policies or functionality.
Third-party changes may require adjustments to a Product, Website or Service.
Where applicable, users are also bound by the relevant third-party provider’s terms and policies.
34. Website, Hosting and Technology Limitations
Where BRIT provides website or technology-related Services, third-party infrastructure may affect performance and availability.
Unless expressly stated otherwise, professional fees do not automatically include:
- domain renewal;
- hosting;
- premium plugins;
- paid software;
- third-party subscriptions;
- paid APIs;
- server infrastructure;
- cybersecurity monitoring;
- ongoing maintenance;
- backups; or
- future development.
Such services may be separately charged.
35. Privacy and Personal Information
Your use of the Website and submission of personal information is also governed by the Privacy Policy published on the Website.
Where BRIT processes personal data, it shall do so subject to applicable law and its applicable privacy practices.
Users should avoid submitting unnecessary sensitive or confidential information through general website forms.
36. Confidentiality
Each party may receive confidential business, technical, financial, commercial or other non-public information from the other party.
Each party shall use reasonable care to protect confidential information and use it only for legitimate purposes related to the applicable relationship.
A separate NDA shall prevail where applicable.
37. Portfolio and Promotional Use
Unless otherwise agreed in writing, BRIT may display completed public-facing work in its portfolio, website, presentations, social media, case studies and promotional materials after the work has been publicly released.
BRIT will not intentionally disclose information that the client has expressly identified in writing as confidential, subject to legal obligations.
38. User-Submitted Content
Where users submit enquiries, comments, documents, files, images, information or other material through the Website, they must have the legal right and authority to submit such material.
Users must not submit:
- unlawful content;
- malware;
- fraudulent material;
- infringing material;
- malicious code;
- confidential information without authority; or
- material that violates the rights of another person.
BRIT may refuse to process or remove material that reasonably appears unlawful, abusive, malicious or inappropriate.
39. Accuracy of Website Information
BRIT attempts to maintain accurate Website information but does not warrant that every item of Website content will always be complete, current or free from technical errors.
Information may be updated, modified, corrected, replaced or removed without prior notice.
Website information does not automatically constitute a binding quotation or contractual guarantee unless expressly incorporated into an applicable agreement.
40. User Accounts and Security
Where the Website provides customer accounts, users are responsible for maintaining the confidentiality of their login credentials.
You must not:
- share credentials with unauthorised users;
- allow unauthorised access;
- attempt to access another person’s account; or
- use an account for fraudulent or unlawful purposes.
You should notify BRIT promptly if you suspect unauthorised access or misuse.
BRIT may suspend accounts reasonably suspected of fraud, abuse, security compromise or material violation of these Terms.
41. Electronic Communications and Records
You agree that BRIT may communicate with you electronically through email, Website notifications, messaging services, customer accounts, electronic invoices, payment systems or other digital channels.
Electronic records, approvals, invoices, acknowledgements and communications may be relied upon as records of the transaction to the extent permitted by applicable law.
You are responsible for reviewing communications sent to the contact details provided by you.
42. Intellectual Property in the Website
Unless expressly stated otherwise, BRIT owns or has appropriate rights to use the Website’s original:
- text;
- layouts;
- graphics;
- visual elements;
- designs;
- branding;
- photographs;
- videos;
- documents;
- illustrations;
- software elements; and
- other content.
Unauthorised copying, commercial exploitation or reproduction may violate applicable intellectual-property laws.
43. Third-Party Links
The Website may contain links to websites or services operated by third parties.
These links are provided for convenience and do not necessarily mean that BRIT endorses those websites or services.
BRIT is not responsible for the content, security, privacy practices, availability, accuracy or terms of third-party websites.
44. Suspicious, Fraudulent or Abusive Transactions
BRIT reserves the right to investigate transactions that appear suspicious, fraudulent or abusive.
This may include circumstances involving:
- stolen payment credentials;
- repeated failed transactions;
- abnormal purchasing behaviour;
- misuse of discount codes;
- unauthorised account sharing;
- chargeback abuse;
- automated attacks;
- attempted circumvention of Product access controls; or
- other suspected fraudulent activity.
Where appropriate and lawful, BRIT may suspend access, cancel Orders, block accounts or take further action.
45. Suspension and Termination
BRIT may suspend, restrict or terminate Website access, accounts, Services, Products or digital access where reasonably necessary due to:
- material breach of these Terms;
- fraud;
- unlawful activity;
- abusive conduct;
- non-payment;
- intellectual-property infringement;
- unauthorised distribution of Products;
- security threats; or
- other legitimate legal or operational reasons.
Termination does not extinguish obligations that by their nature survive termination.
46. Effect of Termination
Following termination or cancellation:
- amounts already due remain payable;
- confidentiality obligations continue where applicable;
- intellectual-property restrictions continue;
- authorised licences remain subject to their applicable terms;
- unauthorised Product use must cease; and
- provisions intended to survive termination shall remain effective.
47. Warranties and Disclaimers
BRIT will provide contracted professional Services using reasonable professional care and skill.
Except where expressly provided otherwise in writing, the Website and general Website content are made available on an “as is” and “as available” basis to the maximum extent permitted by applicable law.
BRIT does not guarantee that:
- the Website will always be continuously available;
- all systems will always function without errors;
- third-party platforms will remain available;
- Digital Products will remain compatible with every future software version;
- every Product will satisfy a particular personal preference;
- every Service will produce a particular commercial outcome; or
- third-party systems will remain unchanged.
Nothing in these Terms excludes a legal right or remedy that cannot lawfully be excluded.
48. Limitation of Liability
To the maximum extent permitted by applicable law, BRIT shall not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, reputation or data arising from use of the Website, Products or Services.
Subject to applicable law and unless a different limit is expressly agreed in writing, BRIT’s aggregate liability arising from a particular paid engagement shall not exceed the amount actually paid to BRIT for that specific Product or Service giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.
49. Indemnity
To the maximum extent permitted by law, the customer agrees to indemnify and hold harmless BRIT and its owners, employees, contractors and representatives against third-party claims, losses, liabilities and reasonable costs arising from:
- materials supplied by the customer;
- unlawful use of the Website, Products or Services;
- infringement resulting from customer-supplied material;
- unauthorised use or redistribution of Digital Products;
- violation of third-party rights caused by customer instructions or materials;
- misuse of Products; or
- breach of these Terms or an applicable Project Agreement.
This clause does not apply to liability that cannot legally be excluded.
50. Force Majeure
BRIT shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- severe weather;
- fire or flood;
- war;
- civil unrest;
- government action;
- internet or telecommunications failure;
- electricity failure;
- cyber incidents affecting external infrastructure;
- banking or payment-network outages;
- third-party platform outages;
- hosting failures;
- software-provider changes;
- labour disruptions; or
- other comparable events beyond BRIT’s reasonable control.
Where reasonably practicable, BRIT will communicate material delays.
51. Consumer and Statutory Rights
Nothing in these Terms is intended to remove, waive or restrict any mandatory statutory right or remedy available to a consumer or other protected person under applicable Indian law.
Where any mandatory legal provision conflicts with these Terms, the mandatory legal provision shall prevail to the extent of that conflict.
52. E-Commerce Information and Customer Support
For Products sold through the Website, BRIT will provide information relevant to the transaction through the applicable Product page, checkout process, invoice, Order Confirmation, Website policies or other appropriate electronic communication, as applicable.
Such information may include:
- Product description;
- price;
- applicable taxes;
- applicable licence information;
- payment method;
- download or access method;
- applicable refund terms;
- customer support information; and
- grievance/contact information.
BRIT may publish dedicated e-commerce policies to supplement these Terms.
53. Grievance Redressal
BRIT will maintain an appropriate mechanism for receiving and addressing customer complaints and grievances relating to the Website, Products or Services, subject to applicable law.
The latest grievance-contact information should be displayed on the Website’s Contact, Legal or dedicated Grievance Redressal section.
Where required by applicable law, the designated grievance officer’s name and contact details will be made available on the Website.
54. Refunds, Cancellation and Product-Specific Policies
BRIT may maintain separate policies dealing with:
- refunds;
- cancellations;
- Digital Product delivery;
- payment issues;
- privacy;
- cookies;
- grievance redressal; and
- other specific areas.
Such policies form part of the broader contractual framework governing Website use and purchases.
Where a specific Product page contains a Product-specific condition that is clearly presented before purchase, that condition may apply to that Product.
55. Promotional Offers and Discount Codes
Promotional offers, coupons, discount codes, bundles and limited-time deals may be subject to separate conditions, including:
- expiry dates;
- minimum order values;
- Product exclusions;
- one-time use restrictions;
- customer eligibility requirements; or
- quantity limitations.
A discount code may not be exchangeable for cash unless expressly stated.
BRIT may withdraw or modify a promotional offer where reasonably necessary, including where misuse, technical error or fraud is identified.
56. No Unauthorised Commercial Redistribution
Unless expressly permitted by the applicable Product licence or written agreement, customers may not use purchased Digital Products as a competing commercial resource, resale item, downloadable library, subscription asset or marketplace listing.
Purchasing a Product grants only the rights expressly provided by the applicable licence.
57. Changes to Products and Services
BRIT reserves the right to:
- modify Products;
- improve Products;
- update file formats;
- discontinue Products;
- modify Service offerings;
- add or remove Website features;
- change pricing; and
- change delivery mechanisms.
Completed purchases will continue to be governed by the terms applicable to the relevant transaction, subject to applicable law and any specific Product licence.
58. No Waiver
Failure by BRIT to enforce a provision immediately does not constitute a waiver of the right to enforce it later.
A waiver must be expressly made.
59. Severability
If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions shall continue to operate to the fullest extent permitted by law.
The affected provision shall, where legally possible, be interpreted or modified to the minimum extent necessary to make it enforceable.
60. Entire Agreement
These Terms, together with applicable:
- Project Agreements;
- proposals;
- quotations;
- invoices;
- Product licences;
- Refund/Cancellation Policy;
- Privacy Policy;
- Cookie Policy;
- order confirmations; and
- other documents expressly incorporated into the transaction,
form the governing framework for the relevant relationship or transaction.
61. Assignment
You may not transfer your rights or obligations under these Terms or an applicable transaction without BRIT’s written consent, except where permitted by applicable law.
BRIT may engage employees, consultants, contractors and specialist Third-Party Providers to assist in providing Products or Services.
62. Independent Relationship
Unless expressly agreed otherwise, BRIT and its customers are independent contracting parties.
Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between the parties.
63. Governing Law
These Terms and the relationship between you and BrandRipple InfoTech shall be governed by the laws of India, subject to applicable mandatory statutory rights and protections.
64. Dispute Resolution
The parties shall first attempt in good faith to resolve any dispute through direct communication and discussion.
Where appropriate, the parties may mutually agree to mediation or another alternative dispute-resolution mechanism.
Where an applicable Project Agreement contains an arbitration clause, that clause will govern the relevant dispute.
Where a valid arbitration agreement applies independently to these Terms, disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, subject to applicable law.
Nothing in this clause prevents a party from seeking urgent interim or statutory relief from a competent court or authority where legally available.
65. Jurisdiction
Subject to applicable consumer rights, mandatory statutory jurisdiction and other applicable law, legal proceedings relating to these Terms or the Services may be subject to the jurisdiction specified in the applicable Project Agreement or otherwise determined under applicable Indian law.
BRIT may specify its principal place of business and contractual jurisdiction in applicable commercial agreements, invoices or project documentation.
66. Notices
Formal notices relating to these Terms, transactions or projects should be sent using the official communication channels published by BRIT or specified in the applicable Project Agreement.
Routine operational communication may be conducted by email, messaging platforms, project-management systems or other agreed channels.
67. Electronic Acceptance and Digital Contracting
You expressly acknowledge that electronic acceptance, electronic communications, online purchases, electronic invoices, digital acknowledgements, account records, download records, payment records and other electronic records may form part of the contractual relationship between you and BRIT to the extent permitted by applicable law.
You further acknowledge that physical signing or printing of these Terms is not necessarily required for your use of the Website or purchase of a Digital Product.
